These terms govern your access to and use of the ASAKAI AI Readiness Toolkit. Please read them carefully.
By accessing or using the ASAKAI AI Readiness Toolkit ("the Toolkit"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Toolkit.
These Terms apply to all users, whether accessing the Toolkit as a free preview or as a paid customer.
ASAKAI LLC ("ASAKAI", "we", "us", "our") is a California-registered limited liability company that provides AI readiness assessment tools, advisory resources, and informational content for small and mid-sized businesses.
The Toolkit includes interactive tools (AI Readiness Scorecard, Business Systems Gap Finder, AI Tool Finder, Decision Framework) and supporting educational content. These services are educational and informational in nature only.
The Toolkit's outputs, including scores, readiness levels, use-case recommendations, tool suggestions, and framework guidance, are general guidance only.
They are not legal, financial, tax, accounting, engineering, contracting, architectural, or medical advice. Using this Toolkit does not create a professional-client relationship of any kind between you and ASAKAI LLC or any of its principals, employees, or contractors.
You should consult licensed professionals appropriate to your situation before making any significant business, financial, or operational decisions.
ASAKAI does not guarantee any specific business, financial, operational, or technical outcomes from using the Toolkit. Any illustrative examples, statistics, or results referenced in the Toolkit are for educational purposes only and do not represent promises or guarantees.
Your actual results will depend entirely on your individual circumstances, the quality of decisions you make, your implementation choices, and factors outside ASAKAI's control.
You assume all risk for decisions made based on Toolkit output. Specifically, you are responsible for:

The Toolkit is provided "as is" and "as available" without warranties of any kind, express or implied. ASAKAI expressly disclaims all warranties, including but not limited to:
All Toolkit content, design, code, branding, frameworks, scoring methodologies, and written materials are the intellectual property of ASAKAI LLC and are protected by U.S. copyright and other applicable laws.
By purchasing or accessing the Toolkit, you receive a limited, personal, non-exclusive, non-transferable, non-sublicensable license to use the Toolkit for your own internal business purposes. This license does not permit you to resell, redistribute, white-label, or create derivative works from the Toolkit.

By using the Toolkit, you represent and warrant that:
You retain ownership of any data, responses, or content you submit through the Toolkit. By submitting content, you represent that you have the right to share it and that your submission does not violate any confidentiality, privacy, contractual, or legal obligation.
By using or purchasing the Toolkit, you consent to ASAKAI collecting and processing your information, including Toolkit responses, for the limited purposes described in our Privacy Policy. These purposes include providing the Toolkit, processing your purchase, generating Toolkit results, supporting your account, improving ASAKAI services, developing anonymized or aggregated insights, and recommending relevant ASAKAI advisory offerings.
ASAKAI may use anonymized, aggregated, and de-identified data derived from Toolkit usage to improve the product, develop benchmarks, and create educational content. Such use will not reasonably identify you or your business.
You must not submit confidential business information, trade secrets, protected health information, patient names, medical record numbers, diagnosis details, appointment notes, treatment information, insurance information, legally privileged information, sensitive personal information, or information you are not authorized to share unless ASAKAI has expressly agreed in writing to handle that information under a separate agreement. If your business handles health information, describe workflows only at a high level and do not enter patient specific details.
If you separately opt in to marketing communications, you consent to receive emails from ASAKAI about AI readiness resources, Toolkit updates, workshops, advisory services, and related offers. You may unsubscribe from marketing emails at any time. Transactional, account, legal, and purchase related communications may still be sent as needed.
You agree to indemnify, defend, and hold harmless ASAKAI LLC and its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
Payments are processed by Stripe. ASAKAI does not store full card numbers or bank account details.
Because the ASAKAI AI Readiness Toolkit is a digital product with immediate access after purchase, all sales are final unless a refund is required by law. If you experience an access issue, duplicate charge, or billing error, contact [email protected] and ASAKAI will review the issue in good faith.
For the Toolkit plus Strategy Call option, the strategy call may be rescheduled with reasonable notice. Missed calls, late cancellations, or no shows may not be refundable.
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.
Binding Arbitration: Any dispute arising from or related to these Terms or the Toolkit that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS in Contra Costa County, California, under its Streamlined Arbitration Rules. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.
Class Action Waiver: You waive any right to participate in a class action lawsuit or classwide arbitration against ASAKAI. All disputes must be brought in your individual capacity.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
ASAKAI may update these Terms at any time. When we make material changes, we will update the version number and effective date at the bottom of this page, and where feasible, notify you by email or in app notice.
Your continued use of the Toolkit after the updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Toolkit.
ASAKAI may suspend or terminate your access to the Toolkit at any time, with or without notice, if you violate these Terms or for any other business reason.
Upon termination, your license to use the Toolkit ends immediately. Sections 3 (Advisory Only Nature), 7 (Limitation of Liability), 8 (Disclaimer of Warranties), 13 (Indemnification), 15 (Governing Law), and any other provisions that by their nature should survive, will survive termination.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
